TERMS & CONDITIONS

This document is an electronic record in terms of the applicable Thai laws (including but not limited to the Act on Computer Crime (No. 2) B.E. 2560) and the rules made thereunder and is generated by a computer system and does not require any physical signature. 

This document is published in accordance with applicable Thai regulations requiring the publication of rules, guidelines, policies, and Terms of Use for access or usage of the website of Nura’s Thailand center (www.nurathailand.com). 

Your use of the Site, including any contact-form or “Contact Us” page, is governed by these Terms of Use and any applicable policies (which are incorporated herein by reference). 

By browsing or accessing the Site and/or filling the Contact Us form, You are contracting with the local operating entity of Nura in Thailand (“we”, “us”, “our”) and these Terms constitute your binding obligations with us.
For the purposes of these Terms: 

• “You” means any legal person browsing, accessing, using the Site or filling in details in the Contact Us page. 

• “Third-Party” or “Third-Parties” means any party other than us. 

• “We”, “us”, “our” means the local entity of Nura (Thailand) operating the Site. 

ONLINE INFORMATION PORTAL 

We act as an information portal and provide information about our services (including health-screening packages, genetic screening packages, etc) through the Site. 

TERMS OF USE 

You agree, undertake and confirm that your use of the Site shall be strictly governed by the following binding principles. You hereby undertake and agree not to use the Site for:
(a) Harassing or advocating harassment of another person;
(b) Transmission of “junk mail”, “chain letters”, unsolicited mass mailing or “spamming”;
(c) Promoting illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
(d) Transmitting, sharing, uploading links to any software viruses or computer code or files designed to interrupt, destroy or limit the functionality of any computer resources; or containing trojans, worms, time-bombs, cancel-bots, “easter-eggs” or other routines designed to damage, interfere with, diminish the value of, intercept or expropriate any system, data or personal information. 

As required by law and regulation in Thailand, we shall not knowingly host, display, upload, modify, publish, transmit, store or share any information that:
(i) belongs to another person and to which the user does not have any rights;
(ii) is defamatory, obscene, pornographic, invasive of another’s privacy, insulting or harassing on the basis of gender, race, ethnicity, religion, or other protected characteristic; or encourages money-laundering, gambling or other illegal activity;
(iii) is harmful to children;
(iv) infringes any patent, trademark, copyright or other proprietary rights;
(v) violates any applicable Thai law or regulation;
(vi) deceives or misleads the addressee about the origin of the message or communicates information which is knowingly false or misleading;
(vii) impersonates another person;
(viii) threatens the unity, integrity, defence, security or sovereignty of Thailand, friendly relations with foreign states, public order, or causes incitement to commission of any offence;
(ix) contains software viruses or other harmful code;
(x) is otherwise objectionable or illegal under Thai law. 

PROHIBITED USE 

1. You must not use any “deep-link”, “page-scrape”, “robot”, “spider” or automatic device/program to access, acquire, copy or monitor any part of the Site or circumvent the navigational structure or presentation of the Site. 
2. You must not attempt to gain unauthorized access to any portion or feature of the Site or any connected server, computer or network. 
3. You must not probe, scan or test the vulnerability of the Site or any network connected to it, nor breach the security or authentication measures of the Site or any network. 
4. You must not make any negative, denigrating or defamatory statements or comments about us, our brand name, domain name, or otherwise engage in conduct that might tarnish our reputation or dilute our trade/service marks or goodwill. 
5. You agree not to take any action that imposes an unreasonable or disproportionate load on the infrastructure of the Site or any systems connected to it. 
6. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site. 
7. You agree not to forge headers or manipulate identifiers to disguise the origin of any message you send to us. You may not pretend you are, or represent you are, someone else. 
8. You may not use the Site or any content for any unlawful or prohibited purpose, or to solicit the performance of any illegal activity or other activity which infringes our rights or the rights of others. 
9. You shall at all times ensure full compliance with applicable Thai laws, rules and regulations (including but not limited to the Act on Computer Crime). 
10. You may not transmit chain letters or unsolicited commercial/junk email via the Site. 
11. You understand we have the right (but not the obligation) to disclose any information about you (including your identity) when we believe it is necessary to comply with any legal requirement, investigation or regulation in Thailand. 
12. We reserve the right (but not the obligation) to monitor materials posted on the Site, and to remove or edit any content which in our discretion violates applicable law or these Terms of Use. In no event shall we assume any liability for any Content posted or for any claims, damages or losses resulting from use of Content and/or the appearance of Content on the Site. 
13. It is possible that other users or third-parties may post or transmit offensive or obscene material and you may involuntarily be exposed to such material; we do not approve of such use. 
14. We have rights to take necessary action and claim damages if you (or via others) intentionally or unintentionally participate in a denial-of-service (DoS)/distributed-denial-of-service (DDoS) attack or other disruption of the Site. 
15. You shall not reverse-engineer the Site in any manner. 

CONTENTS POSTED 

The graphics, interfaces, visual interface, technology, software of the Site are solely owned by us. Our trademarks, brand name and logo displayed on the Site are the sole property of us. The Site may also contain descriptions/images/content which are third-party content, in which case the rights remain with the respective owners. 

MESSAGES / COMMENTS – TERMS & CONDITIONS 

By using any messages or comments option provided through the Contact Us page you agree to: 

1. Not violate any policies or these guidelines while using the messages/comments option. 
2. Not post, share or upload any content that is harmful, threatening, abusive, harassing, tortious, indecent, defamatory, discriminatory, vulgar, profane, obscene, hateful or otherwise objectionable. 
3. Not violate any right (privacy, publicity, copyright, trademark, patent, trade secret or other proprietary right) of any entity. 
4. Not disguise or attempt to disguise the origin of content, information or share content under a false name or identity. 
5. Not share or transmit any information that causes or is likely to cause any conflict of interest. 
6. Not promote or solicit any information that is obscene, pornographic, paedophilic in nature. 
7. Not harass, stalk, mislead or misrepresent any individual or entity while using the messages/comments option. 
8. Maintain decency and decorum while using the messages/comments option. 
9. Not promote, share, transmit or solicit any information/image/video/link that affects the reputation or goodwill of any entity or individual. 
10. Not promote, share, transmit or solicit any information/image/video/link that is illegal or prohibited by law.
11. Not solicit or infringe the privacy of any individual. 
12. Not violate or infringe intellectual property rights of any entity or individual. 
13. Not share Sensitive Personal Data or Personal Information of any individual. 
14. Not exaggerate, falsely represent or misrepresent any information or content including language and emojis. 
15. Not use any emojis or symbols in a manner that is defamatory, derogatory, harassing, stalking, discriminatory, hateful, harming the reputation or privacy of any person or entity. 
16. In no event shall we hold any responsibility or liability for any of the above by other users. 

GENERAL OBLIGATIONS 

1. You shall provide accurate information when filling the Contact Us form. 
2. You shall adhere to the minimum age requirement (for example, at least 18 years) as defined under Thai law. 
3. You shall read all the policies and terms displayed on the Site. 
4. You shall not copy or use the information contained in the Site except as expressly permitted. 
5. You shall not engage in any activities specified in the “Prohibited Use” section (either directly or indirectly). 

PRIVACY 

We view the protection of your privacy as a very important principle. We understand that your Sensitive Personal Information is one of our most important assets. We store and process your Sensitive Personal Information, including any sensitive financial information collected, on computers that are protected by physical as well as reasonable technological security measures and procedures in accordance with the laws of Thailand. Our Privacy Policy is available on the Site for more details. 

THIRD-PARTY APIS / LINKS 

The Site may be integrated with third-party APIs or links. In no event shall we hold any liability or responsibility for the performance, security or governance of those third-party systems or links. 

LEGAL DISCLAIMER 

The Site and all content included on or otherwise made available to you thereof are provided on an “as is” and “as available” basis without any representation or warranty (express or implied) except otherwise specified in writing. Without prejudice to the foregoing paragraph, we do not warrant that:
i. The Site shall be continuously available, or available at all; or that the information on the Site is complete, true, accurate or non-misleading.
ii. We do not warrant that the Site, the information, content, images or descriptions on the Site, the servers or electronic communication sent from us are free of viruses or other harmful components. 

Nothing on the Site is meant to constitute advice of any kind. We disclaim any and all damages, liabilities or losses (including any special, incidental, indirect or consequential damages) arising out of your use of the Site. 

OUR LIABILITY 

We shall be liable for technical issues regarding the Site (to the extent required by applicable law). However, we shall hold no liability for unforeseen circumstances, force majeure events and situations beyond our control. 

THIRD-PARTY LIABILITY 

Any Third-Party APIs, systems, plugins, integrations connected to the Site shall be solely and exclusively liable for any issues arising out of their use or failure. In no event shall we hold liability for third-party issues or failures. 

YOUR LIABILITY 

You shall be liable for all information provided by you in the Contact Us form or via the Site. 

FORCE MAJEURE 

In no event shall we be responsible for any failure to perform any services due to causes beyond our control, including but not limited to acts of God, war, riot, acts of military authority, fire, floods, accident(s), pandemic and other emergency situations. 

INDEMNITY 

You shall indemnify and hold harmless us, our directors, agents and employees from any claim or demand or action made by any third party or penalty imposed due to or arising out of your breach of these Terms of Use, Privacy Policy or other policies, or your violation of any law, regulation or the rights (including intellectual property rights) of a third party. 

APPLICABLE LAW / JURISDICTION 

These Terms of Use shall be governed by and construed in accordance with the laws of Thailand. The place of jurisdiction for any legal dispute shall be Bangkok, Thailand unless otherwise agreed. 

DESCRIPTION 

We do not warrant that descriptions or other content made available on the Site are accurate, complete, reliable, current or error-free, and we assume no liability in this regard. 

LIMITATION OF LIABILITY 

In no event shall we be liable for any special, incidental, indirect or consequential damages of any kind in connection with these Terms of Use. The Site may include inaccuracies and typographical errors. We reserve the right to make changes and improvements to the Site periodically without notice. 

FINAL CLAUSE 

By using the Site and/or filling out the Contact Us form, you confirm that you have read, understood and agreed to these Terms & Conditions, our Privacy Policy and any other applicable policies.
